These Affiliate Program Terms & Conditions ("Affiliate Terms") govern participation in the C4Cu / Cooper 4 Copper Affiliate Program ("Program"). By applying to or participating in the Program, you ("Affiliate", "you", "your") agree to be bound by these Affiliate Terms.
These Affiliate Terms should be read together with the C4Cu Website Terms & Conditions, Privacy & Cookie Policy, and all other applicable legal documents.
1. Definitions
In these Affiliate Terms, unless the context otherwise requires:
- "Affiliate" means an individual or legal entity accepted into the Program by C4Cu.
- "C4Cu" means A42C Ltd, operating the C4Cu / Cooper 4 Copper platform.
- "Commission" means the monetary reward payable to an Affiliate in accordance with Section 6.
- "Conversion" or "Qualifying Conversion" means a Referred User's first purchase of physical copper cathodes meeting the Minimum Qualifying Deposit.
- "Cookie Window" means the sixty (60) day period during which a user's visit is tracked and attributed to the Affiliate.
- "Dashboard" means the Affiliate's analytics and management portal within the C4Cu platform.
- "Level 1 Referral" or "L1" means a user who registers and converts directly through the Affiliate's Referral Link or Referral Code.
- "Level 2 Referral" or "L2" means a user who registers and converts through a Level 1 Referral's referral link or code.
- "Level 3 Referral" or "L3" means a user who registers and converts through a Level 2 Referral's referral link or code.
- "Minimum Qualifying Deposit" means a first purchase of at least ten (10) kilograms of physical copper cathodes (approximately USD $130 at prevailing prices).
- "Referral Link" means the unique URL assigned to the Affiliate for tracking referrals.
- "Referral Code" means the unique alphanumeric code assigned to the Affiliate.
- "Referred User" means any individual who registers on the C4Cu platform through the Affiliate's Referral Link or Referral Code.
2. Program Overview
2.1 The C4Cu Affiliate Program enables approved Affiliates to earn commissions by referring new users to the C4Cu platform.
2.2 The Program operates a three-level multi-level commission structure, rewarding Affiliates for direct referrals (Level 1), referrals made by their direct referrals (Level 2), and referrals made by Level 2 users (Level 3).
2.3 Participation in the Program is free. There is no joining fee, minimum traffic requirement, or obligation to purchase copper.
2.4 The Program is not an employment, partnership, joint venture, franchise, or agency arrangement. Affiliates are independent contractors.
3. Eligibility & Application
3.1 To apply to the Program, an applicant must:
- Hold a registered C4Cu account
- Be at least eighteen (18) years of age or the age of majority in their jurisdiction
- Submit a complete application via the C4Cu platform, including information about their promotional channels and strategy
3.2 C4Cu reserves the absolute right to approve or reject any application at its sole discretion, without obligation to provide reasons.
3.3 Applications are reviewed on the basis of relevance, audience, promotional methods, and compliance suitability. Approval is not guaranteed.
3.4 C4Cu may revoke approval and remove an Affiliate from the Program at any time, in accordance with Section 14.
4. Referral Link & Referral Code
4.1 Upon approval, the Affiliate will be issued a unique Referral Link and Referral Code, accessible via the Dashboard.
4.2 The Affiliate must use only their assigned Referral Link or Referral Code when promoting C4Cu. Use of modified, tampered, or unauthorised links is prohibited.
4.3 The Affiliate must not bid on C4Cu brand keywords (including "C4Cu", "Cooper 4 Copper", "Click4Copper", and variations) in paid search advertising, unless expressly authorised in writing by C4Cu.
5. Tracking & Attribution
5.1 Cookie Window: When a user clicks the Affiliate's Referral Link, a tracking cookie is set for a period of sixty (60) days. If the user registers and completes a Qualifying Conversion within this window, the Affiliate is credited.
5.2 Referral Code Attribution: A user who registers using the Affiliate's Referral Code is attributed to the Affiliate regardless of the Cookie Window.
5.3 Permanent Attribution: Once a user is attributed to an Affiliate (whether via cookie or referral code), that attribution is permanent and does not expire, provided the Affiliate remains in good standing under these Affiliate Terms.
5.4 First-Touch Attribution: Where a user interacts with multiple Affiliate links, attribution is assigned to the Affiliate whose link or code was used at the time of registration.
5.5 Multi-Level Tracking: The system automatically tracks referral chains up to three (3) levels deep. Level 2 and Level 3 attributions are determined by the referral codes of the intermediate users.
5.6 C4Cu's tracking systems are the sole and definitive record of referral attribution. In the event of any dispute, C4Cu's records shall be final and binding.
6. Commission Structure
6.1 Level 1 — Direct Referral Commissions
The Affiliate earns a commission for each Qualifying Conversion made by a Level 1 Referral. The commission amount is determined by the Affiliate's cumulative total of successful Level 1 referrals, in accordance with the following tiered structure:

| 101+ | $30 USD |
Tier progression is automatic. Once the Affiliate crosses a tier threshold, the higher rate applies to all subsequent Level 1 conversions.
6.2 Level 2 — Network Commissions
The Affiliate earns a passive bonus of $5 USD for each Qualifying Conversion made by a Level 2 Referral (i.e. a user referred by one of the Affiliate's Level 1 Referrals).
6.3 Level 3 — Extended Network Commissions
The Affiliate earns a passive bonus of $2 USD for each Qualifying Conversion made by a Level 3 Referral (i.e. a user referred by one of the Affiliate's Level 2 Referrals).
6.4 Qualifying Event
A Commission is earned only when a Referred User completes their first Qualifying Conversion (a first purchase of at least 10kg of copper). Subsequent purchases by the same Referred User do not generate additional commissions.
6.5 No Cap on Earnings
There is no cap on the total amount of commissions an Affiliate may earn under the Program.
6.6 Commission Currency
Commissions are denominated in United States Dollars (USD) and credited to the Affiliate's balance in token-equivalent form within the Dashboard.
7. Payout Terms
7.1 Affiliates may request payout of their available balance via the Dashboard.
7.2 Payouts are available in the following currencies: USD, EUR, GBP, and HKD.
7.3 Payout requests must include valid bank account details, including:
- Account holder name
- Bank name
- Account number
- Sort code, IBAN, or SWIFT/BIC as applicable
- Bank country
7.4 Payout requests are typically processed within three (3) working days of submission, subject to verification and compliance checks.
7.5 C4Cu reserves the right to delay, withhold, or decline payout requests where:
- Fraudulent or suspicious activity is detected or suspected
- The Affiliate is in breach of these Affiliate Terms
- Identity verification or compliance checks are incomplete
- Technical or banking errors require investigation
7.6 C4Cu may require identity verification (KYC) before processing payout requests, particularly where cumulative payouts exceed applicable thresholds.
7.7 All banking, transfer, or currency conversion fees are the responsibility of the Affiliate unless otherwise stated.
8. Affiliate Dashboard
8.1 Approved Affiliates have access to a Dashboard providing:
- Referral link and referral code management
- Real-time tracking of clicks, sign-ups, and conversions
- Earnings breakdown by Level (L1, L2, L3)
- Tier progress and commission rate information
- Payout request submission and history
- Invoice generation and download
- Thirty (30) day performance analytics
8.2 Dashboard data is provided for informational purposes. C4Cu's internal records are the definitive record in the event of any discrepancy.
9. Promotional Guidelines & Permitted Conduct
9.1 Affiliates may promote C4Cu through legitimate channels, including but not limited to:
- Personal websites and blogs
- Social media platforms
- Email marketing (to opted-in audiences only)
- Video content platforms
- Podcasts and online publications
9.2 All promotional content must:
- Be truthful, accurate, and not misleading
- Clearly identify the Affiliate as a participant in the C4Cu Affiliate Program
- Comply with all applicable advertising standards, consumer protection, and financial promotion regulations in the Affiliate's jurisdiction
- Not imply that copper purchases are guaranteed to be profitable or risk-free
- Not make claims about guaranteed returns, income levels, or investment performance
9.3 C4Cu may provide marketing materials, banners, and branded content via a media kit. Affiliates may use these materials in accordance with any accompanying guidelines but must not alter C4Cu branding, trademarks, or logos without prior written consent.
10. Prohibited Conduct
10.1 The following conduct is strictly prohibited and may result in immediate termination and forfeiture of unpaid commissions:
- Self-referral: Referring oneself or accounts controlled by the Affiliate
- Fraudulent referrals: Using fake, incentivised, or purchased sign-ups to generate commissions
- Cookie stuffing: Artificially setting referral cookies without genuine user interaction
- Spam: Sending unsolicited bulk emails, messages, or communications
- Misleading claims: Making false, exaggerated, or unsubstantiated claims about C4Cu, copper prices, or potential earnings
- Brand bidding: Bidding on C4Cu brand terms in paid search without express written authorisation
- Impersonation: Presenting oneself as an employee, agent, or representative of C4Cu
- Trademark misuse: Using C4Cu trademarks, logos, or brand names in domain names, social media handles, or advertising in a manner that implies official endorsement
- Illegal activity: Using the Program in connection with any unlawful, fraudulent, or unethical activity
- Manipulation of multi-level structure: Creating artificial referral chains, recycling referrals between accounts, or otherwise gaming the multi-level commission system
10.2 C4Cu may investigate suspected violations and may withhold or claw back commissions pending the outcome of any investigation.
11. Intellectual Property
11.1 All C4Cu trademarks, logos, brand names, domain names, and proprietary content remain the exclusive property of A42C Ltd.
11.2 The Affiliate is granted a limited, non-exclusive, revocable licence to use C4Cu-provided marketing materials solely for the purpose of promoting the Program in accordance with these Affiliate Terms.
11.3 This licence terminates immediately upon the Affiliate's removal from the Program.
12. Data Protection
12.1 The Affiliate acknowledges that C4Cu processes personal data in accordance with its Privacy & Cookie Policy.
12.2 The Affiliate must not collect, store, or process personal data of Referred Users except as strictly necessary for their own promotional activities and in compliance with applicable data protection laws (including UK GDPR and the Data Protection Act 2018).
12.3 The Affiliate must not share, sell, or transfer personal data of Referred Users to any third party.
13. Tax & Reporting Obligations
13.1 Affiliates are solely responsible for reporting and paying all taxes due on commissions earned under the Program, including income tax, self-employment tax, VAT, or any other applicable levies.
13.2 C4Cu does not withhold tax on commission payments. Where required by law, C4Cu may request tax identification information from the Affiliate.
13.3 Affiliates are advised to seek independent tax advice in relation to their participation in the Program.
14. Termination
14.1 Termination by the Affiliate: The Affiliate may withdraw from the Program at any time by contacting C4Cu at support@c4cu.com. Outstanding commissions accrued prior to termination will be paid subject to these Affiliate Terms.
14.2 Termination by C4Cu: C4Cu may suspend or terminate any Affiliate's participation at any time, with or without notice, for any reason, including but not limited to:
- Breach of these Affiliate Terms
- Suspected fraud, manipulation, or prohibited conduct
- Inactivity for a prolonged period
- Reputational concerns
- Discontinuation of the Program
14.3 Effect of Termination: Upon termination:
- The Affiliate must immediately cease all promotional activity relating to C4Cu
- The Affiliate's Referral Link and Referral Code will be deactivated
- Access to the Dashboard will be revoked
- Any unpaid commissions may be forfeited where termination is due to breach or prohibited conduct
- Existing attributions of Referred Users will be dissolved
14.4 Sections 11, 12, 13, 15, 16, and 17 survive termination.
15. Limitation of Liability
15.1 To the maximum extent permitted by law, C4Cu shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the Affiliate's participation in the Program.
15.2 C4Cu's total aggregate liability under these Affiliate Terms shall not exceed the total commissions actually paid to the Affiliate in the twelve (12) months preceding the claim.
15.3 C4Cu does not guarantee the availability, continuity, or performance of the Program, the Dashboard, or the tracking systems.
16. Amendments
16.1 C4Cu reserves the right to amend these Affiliate Terms, the commission structure, payout terms, or any aspect of the Program at any time.
16.2 Material changes will be communicated to Affiliates via email or Dashboard notification.
16.3 Continued participation in the Program following notice of amendments constitutes acceptance of the updated terms.
16.4 If the Affiliate does not agree to the amended terms, their sole remedy is to withdraw from the Program in accordance with Section 14.1.
17. General Provisions
17.1 Entire Agreement: These Affiliate Terms, together with the C4Cu Website Terms & Conditions and Privacy & Cookie Policy, constitute the entire agreement between the parties in relation to the Program.
17.2 Severability: If any provision of these Affiliate Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver: Failure by C4Cu to enforce any provision of these Affiliate Terms shall not constitute a waiver of that provision or of the right to enforce it subsequently.
17.4 Assignment: The Affiliate may not assign, transfer, or sub-license their participation in the Program without C4Cu's prior written consent. C4Cu may assign its rights and obligations under these Affiliate Terms without restriction.
17.5 No Third-Party Rights: These Affiliate Terms do not confer any rights on any person or entity other than the parties.
18. Governing Law & Jurisdiction
18.1 These Affiliate Terms are governed by and construed in accordance with the laws of England & Wales.
18.2 The courts of England & Wales shall have exclusive jurisdiction over any disputes arising from or in connection with these Affiliate Terms.
